कंपनी अधिनियम की धारा 5 Companies Act Section-5 के अनुसार कंपनी को कानूनी रूप से किस अनुच्छेद के तहत वर्गीकृत किया गया है एवंम् किस अनुच्छेद मे क्या परिभाषित किया गया है।

अनुच्छेद–
(1) किसी कंपनी के अनुच्छेदों में, कंपनी के प्रबंधन के लिए विनियम अंतर्विष्ट होंगे।
(2) अनुच्छेदों में, ऐसे विषय भी अंतर्विष्ट होंगे, जो विहित किए जाएं :
परंतु इस उपधारा में विहित कोई बात, किसी कंपनी को अपने अनुच्छेदों में ऐसे अतिरिक्त विषयों को सम्मिलित करने से निवारित करने वाली नहीं समझी जाएगी, जो उसके प्रबंध के लिए आवश्यक समझे जाएं।
(3) अनुच्छेदों में इस प्रभाव को संस्थापित करने के लिए ऐसे उपबंध अन्तर्विष्ट हो सकेंगे कि अनुच्छेदों के विनिर्दिष्ट उपबंधों में केवल तभी परिवर्तन किया जा सकेगा, जब ऐसी शर्तों या प्रक्रियाओं को पूरा या उनका अनुपालन किया जाता है, जो किसी विशेष संकल्प की दशा में लागू होने वाली शर्तों और प्रक्रियाओं से अधिक निबंधनात्मक हैं।
(4) उपधारा (3) में निर्दिष्ट संस्थापन के लिए उपबंध केवल कंपनी के गठन पर या किसी प्राइवेट कंपनी की दशा में कंपनी के सभी सदस्यों द्वारा सहमत किए गए कंपनी के अनुच्छेदों में संशोधन करके और पब्लिक कंपनी की दशा में विशेष संकल्प द्वारा बनाए जाएंगे।
(5) जहां अनुच्छेदों में संस्थापन के लिए उपबंध हैं, चाहे वे कंपनी के गठन पर या उसमें संशोधन द्वारा किए गए हों, वहां, कंपनी ऐसे प्ररूप और रीति से, जो विहित की जाए, ऐसे उपबंधों की रजिस्ट्रार को सूचना देगी ।
(6) किसी कंपनी के अनुच्छेद, अनुसूची 1 की सारणी च, सारणी छ, सारणी ज, सारणी झ और सारणी ञ में, जो ऐसी कंपनी को लागू हो, विनिर्दिष्ट संबंधित प्ररूपों में होंगे।
(7) कोई कंपनी, ऐसी कंपनी को लागू आदर्श अनुच्छेदों में अंतर्विष्ट सभी या किसी विनियम को, अंगीकृत कर सकेगी।
(8) ऐसी किसी कंपनी की दशा में, जो इस अधिनियम के प्रारंभ के पश्चात् रजिस्ट्रीकृत है, जहां तक ऐसी कंपनी के रजिस्ट्रीकृत अनुच्छेद ऐसी कंपनी को लागू आदर्श अनुच्छेदों में अंतर्विष्ट विनियमों को अपवर्जित या उपांतरित नहीं करते हैं, वे विनियम, जहां तक लागू हों, उसी रीति से और उसी सीमा तक उस कंपनी के विनियम होंगे, मानो वे कंपनी के सम्यक् रूप से रजिस्ट्रीकृत अनुच्छेदों में अंतर्विष्ट रहे हों।
(9) इस धारा की कोई बात, किसी पूर्व कंपनी विधि के अधीन रजिस्ट्रीकृत किसी कंपनी के अनुच्छेदों को तब तक लागू नहीं होगी जब तक इस अधिनियम के अधीन उनका संशोधन न किया गया हो।
Companies Act Section-5 (Company Act Section-5 in English)
Articles–
(1) The articles of a company shall contain the regulations for the management of the company.
(2) The articles shall also contain such matters, as may be prescribed:
Provided that nothing prescribed in this subsection shall be deemed to prevent a company from including such additional matters in its articles as may be considered necessary for its management.
(3) The articles may contain provisions for entrenchment to the effect that specified provisions of the articles may be altered only if conditions or procedures as that are more restrictive than those applicable in the case of a special resolution, are met or complied with.
(4) The provisions for entrenchment referred to in sub-section (3) shall only be made either on the formation of a company or by an amendment in the articles agreed to by all the members of the company in the case of a private company and by a special resolution in the case of a public company.
(5) Where the articles contain provisions for entrenchment, whether made on formation or by amendment, the company shall give notice to the Registrar of such provisions in such form and manner as may be prescribed.
(6) The articles of a company shall be in respective forms specified in Tables, F, G, H, I, and J in Schedule I as may be applicable to such company.
(7) A company may adopt all or any of the regulations contained in the model articles applicable to such company.
(8) In case of any company, which is registered after the commencement of this Act, in so far as the registered articles of such company do not exclude or modify the regulations contained in the model articles applicable to such company, those regulations shall, so far as applicable, be the regulations of that company in the same manner and to the extent as if they were contained in the duly registered articles of the company.
(9) Nothing in this section shall apply to the articles of a company registered under any previous company law unless amended under this Act.
